Paramount Skydance and Warner Bros. Discovery have announced that they expect to complete their merger on October 6. If the deal’s final conditions are met, the transaction will bring some of the world’s biggest studios, channels, streaming services and entertainment franchises under the same corporate umbrella. The deal involves Paramount Pictures and Warner Bros., as well as HBO Max, Paramount+, CBS, CNN, Discovery, Nickelodeon and Pluto TV. The combined company will also include well-known properties such as Harry Potter, Game of Thrones, DC, Mission: Impossible, Top Gun and SpongeBob SquarePants. The process is not over yet. The companies had previously said they expected to close the transaction on September 30, and until the deal is officially completed, the most accurate description is that Paramount will acquire Warner Bros. Discovery. Announced in February, the agreement valued the company at US$ 110 billion on an enterprise-value basis. Paramount will pay US$ 31 in cash for each WBD share, plus a small additional amount for the days that have elapsed since September 30.The transaction has undergone regulatory review in dozens of countries. In the United States, the Department of Justice concluded in June that the deal should not harm competition in the markets it examined. A lawsuit filed by 12 US states, which raised concerns about the impact on competition and jobs, was another obstacle. A court settlement approved this week removed one of the last major barriers to closing the deal. The merger does not mean Warner Bros. and Paramount Pictures will cease to exist as separate studios. There has been no announcement that either name will disappear, and both brands are expected to maintain their own operations. The court settlement includes provisions related to film production and the preservation of the studios’ historic lots. For audiences, one of the biggest questions concerns HBO Max, Paramount+ and Pluto TV. The companies have highlighted the possibility of combining their platforms and content libraries, but they have not announced the immediate shutdown or merger of the two main services. Integration, pricing, bundles and international distribution will depend on decisions made by the new management.
